Terms of Use
Effective date: 1 January 2025
1. Parties and agreement
These Terms of Use (“Terms”) constitute a legally binding agreement between Robarts Fox TLD, trading as Hiivel (“we”, “us”), and you, the customer entity accessing or using our platform at hiivel.com (“the Service”).
By creating an account or using the Service, you confirm that you are authorised to enter into this agreement on behalf of your organisation and that you accept these Terms in full. If you do not accept these Terms, do not use the Service.
2. The Service
Hiivel is a business operations platform providing HR management, compliance tracking, training management, document storage, and asset management tools. We provide the Service on a subscription basis as described on our pricing page.
We reserve the right to modify, suspend, or discontinue features of the Service at any time with reasonable notice. We will not materially reduce the core functionality available to you during a paid subscription period without offering a prorated refund.
3. Accounts and access
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Ensuring all users you grant access to comply with these Terms
- Notifying us immediately of any unauthorised access at hello@hivell.com
You must not share login credentials between multiple individuals or allow access by anyone outside your organisation without our prior written consent.
4. Subscription and payment
Subscriptions are billed in advance on a monthly or annual basis. All prices are shown inclusive of VAT where applicable. Payment is processed by Stripe.
If payment fails, we will notify you and provide a grace period to update your payment method. If payment is not resolved within 7 days, we reserve the right to suspend access to the Service.
Annual subscriptions are non-refundable except at our sole discretion. Monthly subscriptions can be cancelled at any time, effective at the end of the current billing period.
5. Acceptable use
You must not use the Service to:
- Violate any applicable law or regulation
- Store or process data in a way that violates the privacy rights of third parties
- Attempt to gain unauthorised access to our systems or other customers’ data
- Introduce malware, viruses, or malicious code
- Reverse engineer, decompile, or copy any part of the Service
- Resell or sublicense access to the Service
- Use the Service in a manner that exceeds the employee limits of your plan (see our Fair Usage Policy)
6. Your data
You retain ownership of all data you upload to the Service. By using the Service, you grant us a limited licence to process your data solely for the purpose of providing the Service.
You are responsible for ensuring you have the necessary rights and consents to upload personal data about third parties (such as your employees) to the Service and to use it in accordance with applicable data protection law.
Our processing of personal data is governed by our Data Processing Agreement, which forms part of these Terms for customers subject to UK GDPR.
7. Intellectual property
The Service, including all software, designs, text, and graphics, is owned by Robarts Fox TLD and protected by UK and international intellectual property laws. Nothing in these Terms grants you any rights in the Service beyond the limited right to use it as described here.
8. Warranties and disclaimers
We will provide the Service with reasonable care and skill. However, the Service is provided “as is” and we do not warrant that it will be uninterrupted, error-free, or fit for any particular purpose beyond those expressly described.
The Service is a tool to assist you in managing your business — it does not constitute legal, HR, or compliance advice. You remain responsible for ensuring your business complies with applicable laws.
9. Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the fees you paid to us in the 12 months preceding the claim.
We shall not be liable for any indirect, consequential, special, or incidental loss, including loss of profits, data, or business opportunity, even if we have been advised of the possibility of such losses.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
10. Termination
You may cancel your subscription at any time from your account settings. We may terminate or suspend your account immediately if you materially breach these Terms or if we reasonably believe your use of the Service poses a security risk or legal liability.
Upon termination, your access to the Service will cease. Your data will be retained for 30 days to allow export, after which it will be permanently deleted.
11. Governing law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to these Terms
We may update these Terms from time to time. We will give you at least 30 days’ notice of material changes by email. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
